Article 1 (Purpose)
These Terms of Service set forth the conditions for using the subscription management application "SubTrack" (the "Service") provided by SubTrack Operator (the "Operator"). Users shall use the Service only after agreeing to these Terms.
Article 2 (Definitions)
The terms used in these Terms have the following meanings.
- "User" means an individual or corporation that agrees to these Terms and uses the Service.
- "External Service" means a service provided by a party other than the Operator that a User registers and manages in the Service.
- "Free Plan" means the free usage tier of the Service provided by the Operator.
- "Premium" means the paid usage tier of the Service provided by the Operator.
- "Lifetime Purchase" means a purchase method that allows a User to use Premium features with a one-time payment and no recurring billing.
Article 3 (Service Description)
The Service is a web application that lets Users record contract information, fees, billing dates, categories, notification settings, and other information for External Services, and review spending and upcoming billing dates.
- Users may use features such as subscription registration, list display, analysis, calendar display, notification settings, and export.
- The Service does not act on behalf of Users to contract, cancel, change fees, obtain refunds, or stop payments for External Services.
- Notification features are auxiliary features based on registered information and User settings. The Operator does not guarantee delivery, delivery timing, or that notifications will arrive in time for cancellation deadlines of External Services.
- Offline support may use browser storage to display or save some information. Depending on network conditions and device environment, not all actions may be available.
Article 4 (Formation of the User Agreement)
- A user agreement under these Terms is formed when the User creates an account or uses the Service.
- When applying for a paid plan or Lifetime Purchase, the User shall review the details shown on the purchase screen before applying.
Article 5 (Account Management)
- Users shall keep registered information accurate and up to date.
- Users shall manage their accounts at their own responsibility and shall not transfer, lend, share, or change the name of an account to any third party.
- The Operator shall not be liable for damages caused by insufficient account management, usage errors, or use by a third party, except in cases caused by the Operator's intentional misconduct or gross negligence.
Article 6 (Plans, Fees, and Payment Terms)
- The Service offers a Free Plan, Premium subscriptions, and a Premium Lifetime Purchase.
- Premium subscription fees are JPY 300 per month by default. In the English purchase flow, the representative price is USD 1.99 per month, and local currency may be shown at checkout. If the purchase screen shows different pricing or currency, the purchase screen prevails.
- The Premium Lifetime Purchase fee is JPY 3,000 by default. In the English purchase flow, the representative price is USD 19, and local currency may be shown at checkout. If the purchase screen shows different pricing or currency, the purchase screen prevails.
- A 7-day free trial may apply to the first upgrade to a subscription. Unless canceled, billing automatically begins after the free trial ends.
- Subscriptions automatically renew for each billing period. To stop the next renewal, the User must complete cancellation from the billing management page at least 24 hours before the next renewal date.
- Lifetime Purchase is charged once at the time of application. No recurring billing occurs for the Lifetime Purchase.
- Payments are processed through Stripe. Stripe's terms, payment methods, identity verification, and payment processing conditions may apply.
- The Operator may change fees or plan details. If the Operator makes a material change, the Operator will notify Users of the change, effective timing, and affected Users by posting within the Service or by another appropriate method.
Article 7 (Cancellation and Refunds)
- Subscription cancellation must be completed from the billing management page.
- After cancellation, Premium features remain available until the end of the already paid billing period.
- Due to the nature of digital services, payments are generally non-refundable after completion. This does not apply when a refund is required by law or separately approved by the Operator.
- The same rule applies to refunds after a Lifetime Purchase.
Article 8 (Prohibited Conduct)
Users shall not engage in the following acts when using the Service.
- Acts that violate laws or public order and morals.
- Acts related to criminal activity.
- Acts that infringe the rights or interests of the Operator, other Users, or third parties.
- Registering false or inaccurate information.
- Unauthorized access, excessive load, system analysis, or interference with systems.
- Impersonation of a third party.
- Transmission or provision of harmful programs through the Service.
- Commercial use of the Service or information obtained through the Service without prior consent of the Operator.
- Any other act that the Operator reasonably determines to be inappropriate.
Article 9 (Intellectual Property Rights)
- Copyrights, trademarks, and other intellectual property rights relating to the Service belong to the Operator or third parties that have licensed such rights to the Operator.
- Users shall not reproduce, modify, publicly transmit, distribute, analyze, or reuse the Service content or software without prior consent of the Operator, except as permitted by law.
Article 10 (Handling of Personal Information)
The Operator handles personal information obtained in providing the Service in accordance with the Privacy Policy separately established by the Operator.
Article 11 (Suspension, Change, or Termination of the Service)
- The Operator may suspend or interrupt all or part of the Service due to system maintenance, failures, suspension of external services, disasters, legal requests, or other unavoidable reasons.
- The Operator may change the content of the Service or terminate provision of the Service.
- If a change or termination materially affects Users, the Operator will notify Users in advance by posting within the Service or by another appropriate method, except in urgent cases.
Article 12 (Disclaimer and Limitation of Liability)
- The Operator makes no warranty that the Service will fit a User's particular purpose or have expected functions, accuracy, usefulness, completeness, continuity, or safety.
- The Operator's liability for damages relating to the Service is limited to ordinary and direct damages actually incurred by the User, except in cases caused by the Operator's intentional misconduct or gross negligence.
- If the Consumer Contract Act or other applicable law requires different treatment, the applicable law shall prevail.
- The Operator is not responsible for contracts, billing, cancellations, refunds, or disputes between Users and External Services or third parties.
Article 13 (Changes to These Terms)
- The Operator may change these Terms when there is a legal amendment, Service change, operational need, or other reasonable reason.
- If the Operator makes a material change, the Operator will notify Users of the change and effective date by posting within the Service or by another appropriate method.
- Unless otherwise specified by the Operator, revised Terms apply from the effective date.
Article 14 (Governing Law and Jurisdiction)
- These Terms are governed by the laws of Japan.
- If any dispute arises in connection with the Service, the court with jurisdiction over the Operator's location shall have exclusive jurisdiction as the court of first instance, unless otherwise provided by law.
